Client Responsibilities

- Respond to communications and requests in a timely manner
- Pay invoices according to agreed payment terms
- Use deliverables in accordance with any license terms specified
Intellectual Property

Confidentiality

This confidentiality obligation survives the termination of any engagement.
Disclaimer of Warranties
Our services are provided "as is" without warranties of any kind, express or implied. While we strive to deliver high-quality work, we do not guarantee:

- That AI tools will perform without errors
- Compatibility with all systems or environments
- Uninterrupted or error-free website access
Results from AI implementations vary based on many factors including data quality, team adoption, and workflow complexity.
Limitation of Liability
To the maximum extent permitted by law, Syntraflow LLC and its owners, employees, and contractors shall not be liable for:
- Indirect, incidental, or consequential damages
- Loss of profits, data, or business opportunities
- Damages arising from your use of AI tools or outputs
- Actions taken based on AI-generated content
Our total liability for any claim shall not exceed the fees paid for the specific services giving rise to the claim.
Indemnification
You agree to indemnify and hold harmless Syntraflow LLC from any claims, damages, or expenses arising from:
- Your use of our services or deliverables
- Your violation of these terms
- Your violation of any third-party rights
- Decisions made based on AI-generated outputs
Termination
Either party may terminate an engagement with written notice, subject to the terms of any active statement of work. Upon termination:
- You will pay for services rendered up to the termination date
- We will deliver any completed work
- Confidentiality obligations continue to apply

Governing Law
